Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and AgencyStryde (“AgencyStryde,” “we,” “us,” or “our”) governing your access to and use of the AgencyStryde software-as-a-service platform, website, and related services (collectively, the “Services” or “Platform”).

AgencyStryde is a business management platform designed exclusively for independent insurance agencies. The Platform provides tools for client relationship management, policy renewals, service tracking, sales pipelines, communications, reporting, workflow automations, agency intelligence, and AI-assisted operations.

By creating an account, accessing the Platform, or using any of the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.

To use the AgencyStryde Platform, you must:

• Be at least 18 years of age
• Operate or work for a licensed insurance agency, brokerage, or related insurance business
• Have the legal capacity to enter into a binding agreement
• Not be located in a jurisdiction where use of our Services is prohibited by applicable law
• Not have been previously suspended or terminated from the Platform for violation of these Terms

AgencyStryde reserves the right to refuse service to any individual or entity at our sole discretion. By using the Platform, you represent and warrant that you meet all eligibility requirements.

When you create an account on the AgencyStryde Platform, you are responsible for:

• Providing accurate, complete, and current account information at registration and keeping it updated
• Maintaining the security and confidentiality of your account credentials, including passwords and access tokens
• All activity that occurs under your account, including actions taken by team members, employees, or agents you authorize
• Notifying AgencyStryde immediately at support@agencystryde.com if you become aware of any unauthorized use of your account or security breach
• Ensuring that all users added to your agency account are authorized by your organization and comply with these Terms
• Using the Platform only for lawful purposes and in accordance with these Terms and all applicable laws and regulations

AgencyStryde account owners are responsible for managing team member access, roles, and permissions within their agency workspace. You are solely responsible for any actions taken by users you add to your account.

You may not share your account credentials with unauthorized third parties or allow individuals outside your agency to access your account without explicit authorization from AgencyStryde.

AgencyStryde offers subscription-based access to the Platform. Details of available plans, including features, user limits, and pricing, are published at agencystryde.com/pricing and may be updated from time to time.

• AgencyStryde is a subscription-based SaaS platform. Continued access to the Platform requires an active paid subscription.
• Subscription fees are billed monthly or annually, depending on the billing cycle selected at signup or updated in your account settings.
• Annual subscriptions may be offered at a discounted rate compared to monthly billing.
• Your subscription automatically renews at the end of each billing period unless you cancel prior to the renewal date.
• AgencyStryde reserves the right to modify subscription pricing with at least 30 days' advance written notice to active subscribers. Price changes take effect at the start of the next billing period following the notice period.
• Downgrading your subscription plan may result in loss of access to features available on higher-tier plans. AgencyStryde is not responsible for data or functionality loss resulting from a plan downgrade.

• New agency accounts are eligible for one (1) 30-day free trial per agency. Trial eligibility is determined by AgencyStryde at our sole discretion.
• A valid payment method (credit card or accepted payment instrument) is required to activate your free trial. Your payment method will be stored securely via Stripe but will not be charged during the trial period.
• You will not be charged during the 30-day trial period.
• Billing begins automatically at the end of the trial period unless you cancel your account before the trial expires. You will be charged the applicable subscription rate for your selected plan.
• You may cancel your trial at any time before the trial end date without incurring any charges. Cancellation must be completed through your account settings or by contacting support@agencystryde.com.
• AgencyStryde reserves the right to modify, suspend, or discontinue the free trial offer at any time without prior notice.
• Trial accounts are subject to the same Terms of Service, Acceptable Use Policy, and Privacy Policy as paid accounts.

All billing and payment processing for AgencyStryde subscriptions is handled through Stripe, a third-party payment processor. By providing payment information, you authorize AgencyStryde and Stripe to charge your payment method for all applicable subscription fees.

• Subscription fees are charged at the beginning of each billing period (monthly or annual) and are due immediately upon billing.
• All fees are stated in U.S. Dollars (USD) and are exclusive of applicable taxes. You are responsible for any applicable sales tax, VAT, or similar taxes required by your jurisdiction.
• Subscription fees are non-refundable except where expressly required by applicable law. This includes fees paid for the current billing period if you cancel mid-cycle — access remains active through the end of the paid period.
• If payment fails, AgencyStryde will attempt to retry the charge. If payment remains unsuccessful after reasonable retry attempts, your account may be suspended until payment is resolved.
• AgencyStryde reserves the right to modify pricing with at least 30 days' advance written notice. Continued use of the Platform after the effective date of a price change constitutes your acceptance of the new pricing.
• You may update your payment method at any time through your account billing settings.

Cancellation by Customer

• You may cancel your AgencyStryde subscription at any time through your account settings or by contacting support@agencystryde.com.
• Upon cancellation, your access to the Platform will remain active through the end of your current paid billing period. No partial-period refunds are issued.
• After your billing period ends, your account will be deactivated and you will lose access to the Platform, including your agency data. You are responsible for exporting any data you need prior to deactivation.
• Cancellation of a free trial must occur before the trial end date to avoid being charged. Cancellation after the trial ends will stop future billing but the first subscription charge will not be refunded.

Termination by AgencyStryde

• AgencyStryde may suspend or terminate your account immediately, without prior notice, if you materially breach these Terms, engage in prohibited conduct, fail to pay applicable fees, or if required by law.
• AgencyStryde may also terminate your account with 30 days' written notice for any other reason at our discretion.
• Upon termination by AgencyStryde for cause, no refunds will be issued for any prepaid subscription periods.
• AgencyStryde reserves the right to retain or delete your account data following termination in accordance with our data retention policies and Privacy Policy.

As used in these Terms, “Customer Data” means all data, information, records, and content uploaded to, entered into, generated within, or otherwise submitted to the Platform by you or your authorized users, including client information, policy data, documents, notes, communications, and business records.

• You retain full ownership of all Customer Data you submit to the Platform. AgencyStryde does not claim any ownership rights in your Customer Data.
• AgencyStryde acts solely as a software service provider and data processor with respect to Customer Data. We process Customer Data only to deliver the Platform Services to you.
• AgencyStryde does not sell, rent, license, or share Customer Data with third parties for their own marketing, advertising, or business purposes.
• AgencyStryde employees and contractors may access Customer Data only when necessary to provide technical support, perform security monitoring, conduct system maintenance, or comply with applicable law — and only with appropriate internal authorization.
• You are solely responsible for ensuring that your collection, use, and submission of Customer Data to the Platform complies with all applicable laws, including insurance regulations, data privacy laws, and client notification requirements.
• You may request an export of your Customer Data at any time by contacting support@agencystryde.com. Upon account cancellation, you are responsible for exporting your data before account deactivation.

Your use of the AgencyStryde Platform is subject to this Acceptable Use Policy. You agree not to use the Platform in any manner that:

• Violates any applicable federal, state, local, or international law or regulation, including insurance regulations, privacy laws, and anti-money laundering laws
• Is fraudulent, deceptive, or misleading, or that facilitates fraud against other users, third parties, or AgencyStryde
• Involves unauthorized access to, or interference with, the Platform, servers, networks, or systems connected to the Platform
• Involves distributing, uploading, or transmitting malware, viruses, ransomware, spyware, or any other malicious or harmful code
• Involves conducting security testing, penetration testing, vulnerability scanning, or similar activities against the Platform or its infrastructure without prior written authorization from AgencyStryde
• Involves scraping, crawling, harvesting, or otherwise extracting data from the Platform using automated tools, scripts, bots, or other means not authorized by AgencyStryde
• Involves reverse engineering, decompiling, disassembling, or attempting to derive the source code, algorithms, or underlying structure of the Platform
• Involves reselling, sublicensing, or providing access to the Platform to third parties without AgencyStryde's prior written consent
• Overloads, disrupts, or impairs the Platform infrastructure or negatively affects other users' use of the Platform
• Infringes upon the intellectual property, privacy, or other rights of any third party
• Involves uploading or transmitting content that is defamatory, obscene, harassing, or otherwise objectionable

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account. AgencyStryde reserves the right to investigate suspected violations and cooperate with law enforcement authorities.

AgencyStryde Property. The AgencyStryde Platform, including all software, code, algorithms, databases, user interfaces, workflows, report templates, dashboard designs, AI systems, branding, trademarks, logos, trade names, and all other content and materials comprising or embedded in the Services, are the exclusive property of AgencyStryde or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License. Subject to your compliance with these Terms and the maintenance of an active paid subscription (or trial period), AgencyStryde grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business operations as an insurance agency. This license does not include the right to:

• Copy, reproduce, modify, distribute, or create derivative works based on the Platform or any part thereof
• Reverse engineer, decompile, or disassemble any component of the Platform
• Remove or alter any proprietary notices, labels, or marks on the Platform
• Use the Platform in any manner that competes with AgencyStryde's business
• Use AgencyStryde's name, trademarks, logos, or branding without prior written consent

Customer Content License. By submitting Customer Data to the Platform, you grant AgencyStryde a limited, non-exclusive license to use, process, store, and display your Customer Data solely to the extent necessary to provide the Services to you. This license does not grant AgencyStryde any ownership rights in your data.

This license terminates immediately upon expiration or termination of your account, subject to AgencyStryde's data retention policies.

The AgencyStryde Platform integrates with and relies upon third-party services and infrastructure to deliver the Services. These third-party providers include, but are not limited to:

• Stripe — Payment processing and subscription billing management
• Supabase — Database, authentication, file storage, and backend infrastructure
• Vercel — Application hosting, deployment, and content delivery
• Anthropic — Artificial intelligence capabilities powering the Ava AI assistant
• SendGrid (Twilio) — Transactional email delivery

Your use of third-party services integrated with the Platform is subject to those providers' own terms of service and privacy policies. AgencyStryde is not responsible for the practices, policies, or availability of third-party services.

The Platform may contain links to external websites or services. AgencyStryde does not endorse, control, or assume responsibility for any third-party websites, content, products, or services linked to from the Platform.

AgencyStryde may add, remove, or replace third-party integrations at any time. We will make commercially reasonable efforts to notify customers of material changes to third-party integrations that may affect Platform functionality.

Each party (“Receiving Party”) may receive confidential information from the other party (“Disclosing Party”) in connection with the use of the Platform. “Confidential Information” means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to:

• Hold the Disclosing Party's Confidential Information in strict confidence using at least the same degree of care used to protect its own confidential information, but no less than reasonable care
• Not use Confidential Information for any purpose other than evaluating or exercising rights under these Terms
• Not disclose Confidential Information to any third party without prior written consent, except to employees, contractors, or agents who need to know it to perform obligations under these Terms and are bound by confidentiality obligations at least as protective as these Terms

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives reasonable prior notice to the Disclosing Party where permitted.

Customer Data is treated as Confidential Information of the Customer at all times.

AgencyStryde makes commercially reasonable efforts to maintain the availability and reliability of the Platform. However:

• The Services are provided on an “as available” basis. AgencyStryde does not guarantee uninterrupted, error-free, or continuous access to the Platform.
• Scheduled maintenance windows may occur periodically. AgencyStryde will make reasonable efforts to schedule maintenance during off-peak hours and to provide advance notice when possible.
• Temporary outages, disruptions, or degraded performance may occur due to circumstances within or outside AgencyStryde's control, including infrastructure failures, third-party service interruptions, cyberattacks, or force majeure events.
• AgencyStryde does not guarantee specific uptime percentages or service level agreements (SLAs) unless separately agreed to in writing for enterprise customers.
• AgencyStryde will use commercially reasonable efforts to restore Services promptly following any interruption.

AgencyStryde shall not be liable for any loss, damage, or inconvenience arising from service interruptions, maintenance windows, or temporary unavailability of the Platform.

Without limiting the foregoing, AgencyStryde specifically disclaims:

• AgencyStryde is a business management software platform. It is not an insurance carrier, insurance agency, managing general agent (MGA), or insurance advisor. AgencyStryde does not sell, underwrite, or administer insurance policies.
• AgencyStryde does not provide legal advice. Nothing on the Platform or in these Terms constitutes legal advice, and you should consult qualified legal counsel for guidance on legal matters affecting your agency.
• AgencyStryde does not provide tax, accounting, or financial advice. You should consult qualified professionals for tax, accounting, or financial guidance.
• AgencyStryde does not guarantee business results, revenue growth, client retention, or any specific outcomes from use of the Platform. Results depend on factors outside AgencyStryde's control.
• AgencyStryde does not warrant that the Platform will meet your specific requirements or that it will be free of bugs, errors, or defects.

Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENCYSTRYDE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES — WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO AGENCYSTRYDE DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Exclusion of Consequential Damages. IN NO EVENT SHALL AGENCYSTRYDE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR:

• Indirect, incidental, special, consequential, punitive, or exemplary damages
• Lost profits, lost revenue, or lost business opportunities
• Loss of goodwill or business reputation
• Loss of data, data corruption, or inability to recover data resulting from customer actions, misuse, or failure to maintain adequate backups
• Cost of procuring substitute goods or services
• Any damages arising from your reliance on the Platform for regulatory compliance, client communications, or insurance-related activities

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF AGENCYSTRYDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY ASSERTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless AgencyStryde and its officers, directors, employees, contractors, agents, partners, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Platform in violation of these Terms
• Your violation of any applicable law, regulation, rule, or order, including insurance laws and regulations
• Your infringement or violation of any third-party rights, including intellectual property rights or privacy rights
• Your improper collection, use, storage, or disclosure of client or third-party personal information
• Any misrepresentation made by you in connection with your use of the Platform
• Claims arising from your agency's business operations, insurance activities, or client relationships

AgencyStryde reserves the right to assume exclusive control of the defense of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You may not settle any such claim without AgencyStryde's prior written consent.

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.

Any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the federal or state courts located in Texas, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, AgencyStryde may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.

To the extent permitted by applicable law, any claim arising out of or related to these Terms must be brought within one (1) year after the claim arose, or such claim is permanently barred.

AgencyStryde reserves the right to update or modify these Terms at any time. When we make material changes, we will:

• Update the “Last Updated” date at the top of this page
• Post the updated Terms at www.agencystryde.com/terms-of-service
• Notify account administrators via email at least 14 days before material changes take effect

Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform and cancel your subscription before the changes take effect.

For minor, non-material changes (such as clarifications, typographical corrections, or reorganization that does not affect substantive rights), we may update these Terms without direct notice. We encourage you to review these Terms periodically.
